Terms & Conditions of Sale

These terms and conditions govern your use of the Soundlab, HiFi by Design website and any purchase of goods or services from us. By placing an order or accepting delivery of goods, you are taken to have read, understood, and accepted these terms in full.
1. Definitions
1.1 "Soundlab" means Soundlab, HiFi by Design (ABN 50 140 153 895), its successors and assigns, or any person acting on its behalf.
1.2 "Customer" means the person or entity purchasing goods or services as specified in any invoice, order, or document. Where there is more than one Customer, this is a reference to each jointly and severally.
1.3 "Goods" means all products or services supplied by Soundlab to the Customer from time to time. The terms Goods and Services are interchangeable where context permits.
1.4 "Price" means the price payable for the Goods as agreed between Soundlab and the Customer in accordance with these terms.
2. Acceptance
2.1 By placing an order for, or accepting delivery of, any Goods, the Customer is taken to have accepted and is immediately bound by these terms and conditions.
2.2 These terms may only be amended with Soundlab's written consent and shall prevail over any inconsistency with any other document or agreement between the parties.
2.3 No employee, agent, or representative of Soundlab is authorised to make any representations or agreements not expressly confirmed in writing by Soundlab's management.
3. Pricing & Availability
3.1 All prices displayed on our website are in Australian Dollars (AUD) and include GST unless otherwise stated.
3.2 Whilst every effort is made to ensure pricing accuracy, errors can occur. Soundlab reserves the right to cancel or decline any order where a pricing error has been identified, regardless of whether the order has been confirmed or payment has been received. In such instances, we will contact the Customer promptly and offer either the corrected price or a full refund.
3.3 Soundlab reserves the right to amend pricing at any time without notice. The price applicable to an order is the price confirmed at the time of purchase.
3.4 Quoted prices are valid for thirty (30) days from the date of quotation unless otherwise stated. Soundlab reserves the right to adjust a quoted price if variations to specifications, currency fluctuations, or increases in supplier costs occur before the order is confirmed.
3.5 Product availability is subject to change without notice. Soundlab reserves the right to withdraw or discontinue any product at any time.
4. Orders & Payment
4.1 Placement of an order constitutes an offer to purchase and does not guarantee fulfilment. Orders are confirmed only upon receipt of payment and written confirmation from Soundlab.
4.2 Soundlab reserves the right to refuse or cancel any order at its discretion.
4.3 A deposit may be required at Soundlab's discretion prior to order placement or commencement of installation works.
4.4 Payment is due on the date specified in the invoice or, where no date is specified, within seven (7) days of the invoice date. Time for payment is of the essence.
4.5 Payment may be made by cash, bank transfer, or credit card (Mastercard and Visa accepted). A surcharge of up to 3.3% may apply to credit card transactions.
4.6 Soundlab shall not be bound by any invoice amount that contains a keying error or typographical mistake. Such orders may be cancelled or repriced accordingly.
5. Delivery
5.1 Delivery is taken to occur at the time the Customer (or the Customer's nominated carrier) takes possession of the Goods at Soundlab's premises, or when Soundlab (or its nominated carrier) delivers the Goods to the Customer's nominated address.
5.2 Delivery timeframes provided by Soundlab are estimates only and may vary due to supplier availability or circumstances outside our control. Soundlab is not liable for delays caused by third-party couriers or freight providers. The Customer must still accept delivery of the Goods even if late.
5.3 Delivery costs are in addition to the Price unless otherwise agreed in writing.
5.4 If the Customer is unable to accept delivery as arranged, Soundlab is entitled to charge a reasonable fee for redelivery and/or storage.
5.5 Soundlab may deliver Goods in separate instalments. Each instalment shall be invoiced and paid for in accordance with these terms.
5.6 If the Customer requests Goods to be left unattended or delivered to an unmanned location, such Goods are left entirely at the Customer's risk.
6. Risk & Title
6.1 Risk of damage to or loss of the Goods passes to the Customer on delivery. The Customer is responsible for insuring the Goods on or before delivery.
6.2 Ownership of the Goods does not pass to the Customer until all amounts owing to Soundlab have been paid in full and all other obligations met.
6.3 Until ownership passes, the Customer holds the Goods as bailee and must return them to Soundlab on request. The Customer must not sell, encumber, or otherwise deal with the Goods other than in the ordinary course of business.
6.4 Soundlab reserves the right to recover possession of any Goods in transit or on any premises where the Goods are believed to be held, in the event of non-payment.
7. Returns & Warranty
7.1 Your rights under the Australian Consumer Law (ACL) are not affected by these terms. Nothing in these terms is intended to exclude, restrict, or modify any right or remedy available under the ACL.
7.2 For change-of-mind returns, please contact us within 14 days of receipt. Items must be in original, unopened condition to be eligible.
7.3 Special-order items, custom-configured products, or goods ordered to the Customer's specifications may not be eligible for return or exchange.
7.4 All products carry the relevant manufacturer's warranty. Warranty claims should be directed to Soundlab in the first instance and we will assist in liaising with the relevant brand or supplier.
8. Cancellation
8.1 Soundlab may cancel any order or contract at any time before the Goods are delivered by providing written notice to the Customer. Any moneys paid by the Customer will be refunded in full. Soundlab shall not be liable for any loss or damage arising from such cancellation.
8.2 If the Customer cancels an order after confirmation, the Customer is liable for any direct or indirect loss incurred by Soundlab as a result, including but not limited to loss of profit or restocking costs.
8.3 Orders for goods manufactured, configured, or procured to the Customer's specifications cannot be cancelled once production has commenced or an order has been placed with the supplier.
9. Unpaid Seller's Rights
9.1 Where a Customer has left any item with Soundlab for repair, modification, or service and outstanding amounts remain unpaid, Soundlab shall have a lien over that item until all moneys owing are settled in full.
9.2 Soundlab reserves the right to retain or sell any such item in accordance with applicable legislation governing the sale or disposal of uncollected goods.
10. Limitation of Liability
10.1 To the extent permitted by law, Soundlab's liability for any claim arising from a purchase is limited to the value of the Goods or services in question.
10.2 Soundlab is not liable for any indirect, consequential, or incidental loss or damage of any kind, including loss of profit or loss of use, arising from a breach of these terms or the supply of Goods or services.
10.3 The Customer is not entitled to set off against or deduct from the Price any amounts claimed to be owed by Soundlab, nor to withhold payment of any invoice on the basis of a partial dispute.
11. Force Majeure
11.1 Neither party shall be liable for any failure or delay resulting from circumstances beyond their reasonable control, including but not limited to acts of God, war, natural disaster, industrial action, supply chain disruption, or government restriction.
12. General
12.1 These terms are governed by the laws of Western Australia. Any dispute arising under these terms is subject to the exclusive jurisdiction of the courts of Western Australia.
12.2 Soundlab may update these terms at any time. The current version will always be published on this page. Continued use of our website or placement of a further order constitutes acceptance of the updated terms.
12.3 If any provision of these terms is found to be invalid, void, or unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Soundlab's failure to enforce any provision of these terms shall not constitute a waiver of that provision or affect our right to enforce it subsequently.
12.5 These terms represent the entire agreement between the parties with respect to their subject matter and supersede any prior representations or agreements.
